Terms & Conditions
Effective Date: April 15th, 2026
Please read these Terms & Conditions carefully before engaging Cliu BioAnimation Studio for any services. By submitting a project inquiry, entering into a project agreement, or receiving deliverables, you agree to be bound by these terms.
1. Services
Cliu BioAnimation Studio ("Studio," "I," or "me") provides biomedical illustration, 2D animation, and 3D animation services for researchers, educators, and science communicators. The specific scope, timeline, and deliverables for each project are agreed upon in writing before project commencement.
2. Project Agreements & Scope
All projects begin with a written project summary or agreement confirming scope, deliverables, timeline, and pricing. Any changes to scope requested after work has begun may result in revised pricing and timeline. I will notify you of any scope impact before proceeding with changes.
3. Payments & Fees
Pricing is determined on a per-project basis and communicated prior to project start. Unless otherwise agreed in writing:
A deposit may be required before work begins, as specified in the project agreement.
Final payment is due upon delivery of final files.
Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance.
All fees are quoted and payable in U.S. dollars unless otherwise agreed.
4. Revisions
Revision feedback is incorporated through the structured check-in process described in Section 7. Each project includes a defined number of revision rounds as specified in the project agreement, aligned to the check-in schedule. To keep projects on track, revision requests should be submitted in writing and consolidated prior to each check-in. Revisions beyond the included rounds will be billed at an agreed hourly or flat rate.
5. Intellectual Property & Ownership
5.1 Client Materials
You represent that you have the right to provide any research papers, images, data, or reference materials submitted to me, and that use of such materials does not infringe any third-party rights.
5.2 Final Deliverables
Upon receipt of full payment, you receive a license to use the final deliverables for the purposes agreed upon in the project agreement. Unless a full work-for-hire arrangement is expressly agreed in writing, I retain the right to display final work in my portfolio, on my website, and in promotional materials, with appropriate credit where requested.
5.3 Working Files
Source and working files (e.g., project files, layered files) are not included in standard deliverables unless specifically agreed upon in writing and priced accordingly.
6. Confidentiality
I understand that some projects involve unpublished research or proprietary information. Upon request, I am willing to enter into a mutual non-disclosure agreement (NDA) before project commencement. Absent a signed NDA, I will treat submitted materials with reasonable care but cannot guarantee confidentiality.
7. Turnaround & Timelines
Most well-defined projects are completed within 2 to 6 weeks from initial request, delivered across 3 to 4 structured check-ins spaced 2 to 7 business days apart depending on project complexity and urgency. The initial meeting establishes aesthetics, scope, and timeline. From there, progress updates and partner feedback are incorporated at each check-in interval as the project builds toward final delivery. Rush projects are accommodated where possible, but may require refining scope to focus on immediate communication needs. I am currently not accepting projects expected to exceed 2 months in duration. All timelines are provided in good faith and are contingent on timely partner feedback. Delays in client responses may extend the schedule. I will communicate proactively if any delays arise on my end.
8. Cancellations
If a project is cancelled after work has begun:
Any deposit paid is non-refundable.
You will be invoiced for work completed to the date of cancellation, proportional to the agreed project fee.
Completed deliverables will not be transferred until outstanding balances are paid.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Studio's total liability for any claim arising out of or relating to services provided shall not exceed the total fees paid for the specific project giving rise to the claim. In no event shall the Studio be liable for indirect, incidental, consequential, or punitive damages.
10. Accuracy & Scientific Content
Animations and illustrations are created based on information and source materials provided by the client. The client is responsible for reviewing deliverables for scientific accuracy and ensuring content is appropriate for its intended audience and use. The Studio is not liable for inaccuracies arising from incomplete or incorrect source materials.
11. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction in Tennessee.
12. Changes to These Terms
I reserve the right to update these Terms at any time. The current version will always be posted on the website with the effective date noted above. Continued engagement after an update constitutes acceptance of the revised Terms.
